The terms and conditions published herein are electronic records in terms of Information Technology Act, 2000 and rules there under as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. These electronic records are generated by a computer system and do not require any physical or digital signatures. The terms and conditions published herein are in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries guidelines) Rules, 2011 which require publishing the rules and regulations, privacy policy and Terms and Conditions for access or usage of computer resource by any person.
www.unizon.in (hereinafter referred to as "Website") is owned and managed by Unizon Fintech Private Limited (hereinafter referred to as "Unizon") a company duly incorporated under the provisions of the Companies Act, 2013 having its registered office at B-1/E-13 Mohan Co-operative Industrial Estate, Mathura Road, New Delhi-110044.
The Website provides Buyers and Sellers to purchase/ sell unlisted securities from Unizon. These terms and conditions shall be construed as contractual terms between the Buyers/ Sellers and Unizon and in case of any dispute between the Buyers / Sellers and Unizon, the provisions of Indian Contract Act, 1882 will be applicable.
Buyers’ and Sellers’ use of the Website is governed by the following terms and conditions as applicable to the Website including the applicable policies which are incorporated herein by way of reference. If the Buyers / Sellers transact on the Website, they shall be subject to the policies that are applicable to the Website for such transaction and shall also be bound by the terms and conditions as well as these policies, which constitute a valid contract between Buyers/ Sellers and Unizon.
For the purposes of these Terms and Conditions, wherever the context so requires "Buyer" and “Seller” shall mean any natural or legal person who has agreed to become a buyer/ seller on the Website by providing data for registering on the Website as Registered Buyer/ Seller using the computer systems. Unizon allows a Buyer/ Seller to surf the Website without registering on the Website, however to make purchases/ sales, the Buyer / Seller must be registered on the Website. In the context of these Terms and Conditions, all terms used such as, including but not limited to, "digital signature", "data", "computer", "computer systems", "information", "electronic records" shall have similar meaning as prescribed under Information Technology Act, 2000
When the Buyers / Sellers place an order for purchase/sale of securities through the Website, the Buyers/ Sellers will be subject to the rules, guidelines, policies, terms and conditions applicable to such purchase/sale of securities and they shall be deemed to be incorporated into these Terms and Conditions and shall be considered as part and parcel of these Terms and Conditions. Unizon reserves the right, at its sole discretion, to change, modify, add or remove portions of these Terms and Conditions, at any time without any prior written notice to the Buyers/ Sellers. It is Buyers’ / Sellers’ responsibility to review these Terms and Conditions periodically for updates / changes. Buyers’ / Sellers’ continued use of the Website following the posting of changes will mean that the Buyers/ Sellers accept and agree to the revisions. As long as the Buyers / Sellers comply with these Terms and Conditions, Unizon grants the Buyers/ Sellers a personal, non-exclusive, non-transferable, limited privilege to enter and use the Website.
ACCESSING, BROWSING OR OTHERWISE USING THE SITE INDICATES BUYERS’ / SELLERS’ AGREEMENT TO ALL THE TERMS AND CONDITIONS, SO PLEASE READ THE TERMS AND CONDITIONS CAREFULLY BEFORE PROCEEDING. By impliedly or expressly accepting these Terms and Conditions, the Buyers/ Sellers also accept and agree to be bound by Unizon’s policies (including but not limited to Privacy Policy etc.) as amended from time to time.
Use of the Website is available only to persons who can execute legally binding contracts under Indian Contract Act, 1872. Persons who are "incompetent to contract" within the meaning of the Indian Contract Act, 1872 including minors, persons of unsound mind, un-discharged insolvents etc. are not eligible to use the Website. If a Buyer/ Seller is a minor i.e., under the age of 18 years, the Buyer/ Seller shall not register as a Buyer/ Seller on Website and shall not transact on or use the Website. As a minor if a Buyer/ Seller wishes to use or transact on the website, such use or transaction may be made by Buyer’s / Seller’s legal guardian or parents on the Website. Unizon reserves the right to terminate Buyers’ / Sellers’ registration/account and/or refuse to provide a Buyer/ Seller with access to the Website, if it is brought to Unizon’s notice or if it is discovered that the Buyer/ Seller is under the age of 18 years.
If the Buyers/ Sellers use the Website and register as Buyers/ Sellers, they themselves shall be responsible for maintaining the confidentiality of their Display Name and Password and they themselves shall be responsible for all activities which occur under their Display Name and Password. The Buyers/ Sellers agree that if they provide any information that is untrue, inaccurate, not current or incomplete or Unizon has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, or not in accordance with these Terms and Conditions, Unizon shall have the right to indefinitely suspend or terminate or block access of such Buyers’ / Sellers’ registration/account on the Website and refuse to provide such Buyers/ Sellers with access to the Website.
When the Buyers/ Sellers use the Website or send emails or other data, information or communication to us, the Buyers/ Sellers agree and understand that they are communicating with Unizon through electronic records and they consent to receive communications via electronic records from Unizon periodically and as and when required. Unizon may communicate with the Buyer/ Sellers by email or by such other mode of communication, electronic or otherwise.

3. The Buyers/ Sellers shall be responsible for any non-performance or breach of any contract entered into between a Buyer/ Seller and Unizon.
4. Unizon attempts to keep the elements mentioned on its website accurate and complete. In Particular, the information about the quantity, DP ID, face value, pricing, mode, minimum lot size and other specifications is subject to change without notice. It is possible that there could be errors or omissions in the information provided on this website. The information could also be incomplete. Unizon is not responsible for any errors, omissions or representations on any of Unizon’s pages or any links on any of Unizon’s pages.
Registration on the Website is free for Buyers/ Sellers. Unizon reserves the right to change its Fee Policy from time to time. In particular, Unizon may at its sole discretion introduce new services and modify some or all of the existing services offered on the Website. In such an event, Unizon reserves the right to introduce fees for the new services offered or amend/introduce fees for existing services, as the case may be. Changes to the Fee Policy shall be posted on the Website and such changes shall automatically become effective immediately after they are posted on the Website.
Unizon does not take responsibility or liability for the actions, products, content and services on the Website, which are linked to Affiliates and / or third-party websites using Website's APIs or otherwise. In addition, the Website may provide links to the third-party websites of Unizon’s affiliated companies and certain other businesses for which, Unizon assumes no responsibility for examining or evaluating the products and services offered by them.
